By registering for, accessing, or using VYFOO Restaurant POS Software, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms, you may not use VYFOO Restaurant POS Software.

These Terms constitute a legally binding agreement between you (the "User", "Customer", or "Restaurant") and VYQDA Technologies Pvt. Ltd.

2. Description of Service

VYFOO Restaurant POS Software is a cloud-based restaurant management and billing system that provides:

• Point-of-sale (POS) billing and payment processing
• QR ordering system for contactless dining
• Kitchen Display System (KDS) and Order Status Display (OSDS)
• Inventory management and stock tracking
• Customer relationship management (CRM) and loyalty programs
• Real-time analytics, reporting, and business insights
• WhatsApp order notifications and tracking
• Multi-outlet management and staff management
• GST compliance and tax reporting

VYQDA Technologies reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. VYQDA Technologies may add, remove, or modify features, change pricing, or alter service functionality as needed. Continued use of VYFOO Restaurant POS Software after such changes constitutes acceptance of the modified Service.

3. Account Registration and Security

3.1 Account Requirements

To use VYFOO Restaurant POS Software, you must:

• Be at least 18 years of age or have legal authority to enter into contracts
• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate
• Have the authority to bind your restaurant or business to these Terms

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying VYQDA Technologies immediately of any unauthorized access
• Using strong passwords and enabling two-factor authentication when available

VYQDA Technologies is not liable for any loss or damage arising from unauthorized account access due to your failure to maintain account security.

4. Subscription and Payment Terms

4.1 Subscription Plans

VYFOO Restaurant POS Software is offered on an annual subscription basis. Subscription fees are:

• Payable in advance for the subscription period
• Non-refundable except as specified in our refund policy
• Subject to change with 30 days' notice to existing customers
• Inclusive of all base features (QR Ordering, KDS, OSDS, WhatsApp notifications, Analytics)

4.2 Payment Terms

Payment must be made through approved payment methods. You agree to:

• Provide valid payment information
• Authorize automatic renewal of your subscription
• Pay all applicable taxes (GST included in quoted price)
• Accept responsibility for payment failures or declined transactions

4.3 Subscription Renewal

Subscriptions automatically renew unless cancelled at least 30 days before the renewal date. You will be notified of upcoming renewals via email.

5. Acceptable Use Policy

You agree to use VYFOO Restaurant POS Software only for lawful business purposes and in accordance with these Terms. You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Violate any applicable laws, regulations, or third-party rights
• Attempt to gain unauthorized access to VYFOO systems or other users' accounts
• Interfere with or disrupt the Service, servers, or networks
• Reverse engineer, decompile, or attempt to extract source code
• Resell, sublicense, or redistribute VYFOO Restaurant POS Software
• Use automated systems (bots, scrapers) to access the Service
• Upload malicious code, viruses, or harmful content
• Impersonate others or provide false information
• Use the Service to process transactions for illegal goods or services

Violation of this Acceptable Use Policy may result in immediate account suspension or termination without refund.

6. Intellectual Property Rights

6.1 VYQDA Technologies Ownership

VYFOO Restaurant POS Software, including all software, code, designs, logos, trademarks, and content, is the exclusive property of VYQDA Technologies Pvt. Ltd. and is protected by Indian and international copyright, trademark, and intellectual property laws.

6.2 License Grant

Subject to these Terms, VYQDA Technologies grants you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use VYFOO Restaurant POS Software for your restaurant operations
• Use the Service in accordance with your subscription plan
• Generate reports and export your restaurant data

This license does not include the right to modify, copy, distribute, or create derivative works.

6.3 Your Content

You retain ownership of your restaurant data, menu items, customer information, and business content. By using VYFOO Restaurant POS Software, you grant VYQDA Technologies a license to:

• Store, process, and display your data to provide the Service
• Use aggregated, anonymized data for analytics and service improvement
• Backup and maintain your data for service continuity

7. Service Availability and Support

7.1 Service Availability

VYQDA Technologies strives to maintain 99.9% uptime for VYFOO Restaurant POS Software. However:

• The Service may be temporarily unavailable due to maintenance, updates, or unforeseen circumstances
• We do not guarantee uninterrupted or error-free service
• Offline mode is available for continued operations during connectivity issues
• We will provide reasonable notice of scheduled maintenance when possible

7.2 Support Services

VYFOO Restaurant POS Software includes:

• Email support during business hours
• Free setup, installation, and training
• Regular software updates and feature enhancements
• Documentation and knowledge base access

8. Data and Privacy

Your use of VYFOO Restaurant POS Software is also governed by our Privacy Policy. By using the Service, you consent to:

• Collection, storage, and processing of your restaurant data as described in the Privacy Policy
• Data backup and recovery procedures
• Data sharing with integrated third-party services you authorize
• Use of aggregated, anonymized data for service improvement

VYQDA Technologies implements industry-standard security measures but cannot guarantee absolute data security or data loss prevention. You are solely responsible for maintaining backups of critical data. VYQDA Technologies is not liable for any data loss, corruption, or unauthorized access resulting from factors beyond our reasonable control, including but not limited to hardware failures, software bugs, user error, cyber attacks, or force majeure events.

9. Termination

9.1 Termination by You

You may cancel your VYFOO Restaurant POS Software subscription at any time by:

• Contacting our support team at least 30 days before renewal
• Using the cancellation option in your account settings (if available)
• Sending written notice to contact@vyfoo.com

Cancellation takes effect at the end of your current billing period. No refunds for unused portions of the subscription period. The 30-day money-back guarantee applies only to new subscriptions within the first 30 days of initial purchase. No pro-rated refunds are provided for annual subscriptions.

9.2 Termination by VYQDA Technologies

VYQDA Technologies may suspend or terminate your account immediately if:

• You violate these Terms of Service or Acceptable Use Policy
• You fail to pay subscription fees when due
• You engage in fraudulent or illegal activities
• Required by law or government regulation
• For any other reason with 30 days' notice

9.3 Effect of Termination

Upon termination:

• Your access to VYFOO Restaurant POS Software will be revoked
• You may export your data for 30 days after termination
• VYQDA Technologies may delete your data after the retention period
• All outstanding fees remain due and payable

10. Warranties and Disclaimers

10.1 Service Warranty

VYQDA Technologies warrants that VYFOO Restaurant POS Software will perform substantially in accordance with published documentation. We provide a 30-day money-back guarantee for new subscriptions if you are not satisfied with the Service.

10.2 Disclaimers

EXCEPT AS EXPRESSLY PROVIDED, VYFOO RESTAURANT POS SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or completeness of data or reports
• Warranties that defects will be corrected

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VYQDA TECHNOLOGIES PVT. LTD. SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions, delays, or failures
• Errors, omissions, or inaccuracies in data or reports
• Third-party actions or service provider issues

VYQDA Technologies' total liability, whether in contract, tort, or otherwise, shall not exceed the amount paid by you for VYFOO Restaurant POS Software in the 12 months preceding the claim. This limitation applies even if VYQDA Technologies has been advised of the possibility of such damages.

Some jurisdictions do not allow limitation of liability, so some of these limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless VYQDA Technologies Pvt. Ltd., its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising from:

• Your use or misuse of VYFOO Restaurant POS Software
• Your violation of these Terms of Service
• Your violation of any law or third-party rights
• Your content, data, or information
• Any transactions processed through your account

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms of Service are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of courts in Agra, Uttar Pradesh, India.

13.2 Dispute Resolution

In the event of any dispute, the parties agree to:

• First attempt to resolve disputes through good faith negotiation
• If negotiation fails, attempt mediation through a mutually agreed mediator
• If mediation fails, submit to binding arbitration under Indian Arbitration and Conciliation Act
• Arbitration shall be conducted in Agra, Uttar Pradesh, in English language

14. General Provisions

14.1 Entire Agreement

These Terms of Service, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and VYQDA Technologies regarding VYFOO Restaurant POS Software.

14.2 Modifications

VYQDA Technologies reserves the right to modify these Terms at any time. Material changes will be notified via email or in-app notification. Continued use of VYFOO Restaurant POS Software after changes constitutes acceptance.

14.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.4 Assignment

You may not assign or transfer these Terms without VYQDA Technologies' written consent. VYQDA Technologies may assign these Terms to any affiliate or in connection with a merger or acquisition.

14.5 Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
